Signals Software Ltd — Contributor License Agreement (v1.0)

Thank you for your interest in contributing to Signals Rental Framework or any other project maintained by Signals Software Ltd, a company registered in England and Wales (the "Company").

This Contributor License Agreement ("Agreement") records the rights you grant to the Company in your Contributions. It protects you, the Company, and users of the Company's projects, and it enables the Company to license the projects under both open source and commercial terms. It is a licence of your rights, not an assignment: you retain full ownership of your Contributions and remain free to use them for any other purpose.

By submitting a Contribution to a Company project — including via pull request, patch, issue attachment, or any other form of submission — you accept and agree to the following terms for your present and future Contributions.

1. Definitions

"You" (or "Your") means the individual or legal entity agreeing to this Agreement. If you are accepting on behalf of your employer or another entity, "You" means that entity.

"Contribution" means any original work of authorship, including any modification of or addition to an existing work, that You intentionally submit to the Company for inclusion in, or documentation of, any project owned or managed by the Company (the "Work"). "Submit" means any form of electronic, verbal, or written communication sent to the Company or its representatives, including via source code repositories, pull requests, issue trackers, and mailing lists managed by or on behalf of the Company, but excluding communication conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

2. Grant of Copyright Licence

Subject to the terms of this Agreement, You hereby grant to the Company and to recipients of software distributed by the Company a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright licence to reproduce, prepare derivative works of, publicly display, publicly perform, communicate to the public, sublicense, and distribute Your Contributions and such derivative works.

3. Right to Relicense

Without limiting clause 2, You agree that the Company may license Your Contributions, alone or as part of the Work, under the terms of any licence the Company chooses, including copyleft licences (such as the GNU Affero General Public License), permissive licences, and proprietary or commercial licences, and may change the licence of the Work in future. The Company agrees that it will, in parallel with any other licensing, also make each Contribution available under the open source licence under which the relevant project was licensed at the time the Contribution was submitted, or a later version of that licence.

4. Grant of Patent Licence

Subject to the terms of this Agreement, You hereby grant to the Company and to recipients of software distributed by the Company a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this clause) patent licence to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such licence applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Work to which it was submitted. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Work to which You have contributed, constitutes direct or contributory patent infringement, then any patent licences granted to that entity under this Agreement for that Contribution or Work terminate as of the date such litigation is filed.

5. Your Representations

You represent that:

(a) You are legally entitled to grant the licences above.

(b) Each of Your Contributions is Your original creation, except for any third-party material identified under (d).

(c) If You are an individual and Your employer (or any other person or entity) has rights to intellectual property You create that includes Your Contributions, You have received permission to make the Contributions on behalf of that employer, or Your employer has waived such rights, or Your employer has itself entered into this Agreement covering Your Contributions.

(d) Where any part of a Contribution is not Your original creation, You have identified it clearly in the submission, together with complete details of its source and of any licence or other restriction (including related patents, trade marks, and licence agreements) of which You are personally aware.

(e) Your Contribution does not, to Your knowledge, violate any third party's copyright, patent, trade mark, trade secret, or other intellectual property right.

6. No Obligation; No Warranty

You are not expected to provide support for Your Contributions except to the extent You wish to. Unless required by applicable law or agreed in writing, You provide Your Contributions on an "AS IS" basis, without warranties or conditions of any kind, either express or implied, including any warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose.

The Company is under no obligation to accept, use, or include any Contribution in any project.

7. Notification

You agree to notify the Company promptly if You become aware of any facts or circumstances that would make the representations in clause 5 inaccurate in any respect.

8. General

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with it. This Agreement is the entire agreement between You and the Company concerning Contributions, and supersedes any prior agreements or understandings on that subject. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force.
